1. Provider
These Terms govern the use of the websites and platform operated by Numeriq AG, Baarerstrasse 43, CH-6300 Zug, Switzerland (CHE-349.385.240).
2. Scope
These Terms apply to visitors of www.numeriqpayroll.ch and users of the platform at app.numeriq.ch. Where a separate written agreement exists between you and Numeriq AG (such as an employment contract, service agreement, or framework agreement), that agreement takes precedence over these Terms in the event of conflict.
3. Platform Access
Access to app.numeriq.ch requires registration. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at sales@numeriq.ch if you suspect unauthorized access.
If you are a consultant or employee of Numeriq AG, your right to access payroll documents, payslips, and tax records through the platform is governed by your employment contract and applicable law, and is not affected by the termination of these Terms.
4. Permitted Use
You may use the Services only for their intended purpose and in compliance with applicable law. You may not attempt to gain unauthorized access to systems or data, upload malicious content, or extract data by automated means without written consent.
5. Intellectual Property
All content, software, and trademarks on the Services are owned by Numeriq AG or its licensors. You may not reproduce or distribute them without prior written consent. Data you submit remains your property (or that of the relevant data subject) and is processed as described in our Privacy Policy.
6. Liability
To the extent permitted by mandatory Swiss law, Numeriq AG excludes liability for indirect and consequential damages. Numeriq AG's obligations regarding the accuracy of payroll, tax, and social insurance calculations are governed by the applicable employment contract and Swiss employment law, not by these Terms.
Nothing in these Terms excludes liability for intentional misconduct or gross negligence.
7. Availability
We aim to maintain high availability of the platform but do not guarantee uninterrupted access. Planned maintenance will be communicated in advance where practicable.
8. Data Protection
We process personal data in accordance with Swiss data protection law. See our Privacy Policy for details.
9. Modifications
We may update these Terms from time to time. Material changes will be communicated via the platform or by email. Continued use after changes take effect constitutes acceptance.
10. Governing Law and Jurisdiction
These Terms are governed by Swiss law (excluding conflict of laws rules and the CISG). The exclusive place of jurisdiction is Zug, Switzerland, subject to any mandatory statutory venue.
